Non Disclosure Agreement

A Non-Disclosure Agreement (NDA), also known as a confidentiality agreement, is a legally binding contract between two or more parties that outlines the terms and conditions under which certain confidential information will be shared. The primary purpose of an NDA is to protect sensitive information and prevent its unauthorized disclosure or use by the parties involved.

The NDA identifies the parties entering into the agreement. This usually includes the disclosing party (the entity sharing the confidential information) and the receiving party (the entity receiving the confidential information). The agreement explicitly defines what constitutes confidential information. This may include trade secrets, business plans, financial information, proprietary technology, customer lists, or any other sensitive data that the disclosing party wishes to protect.
